Terms of Service

Placeholder notice: This is placeholder engagement-terms language and should be reviewed by legal counsel before it is relied on as a binding contract. Any specific engagement is ultimately governed by the signed proposal or statement of work between Rivac Labs and the client, which takes precedence over this page.

1. Engagement Structure

Work with Rivac Labs is scoped under one or more of the following engagement types, priced and detailed in full on our pricing page:

  • Pilot — a small, fixed-fee engagement ($500–$2,500, typically 1–3 weeks) to prove out an approach before committing to a full build.
  • One-time Build — a fixed-fee production build ($3,500–$25,000+, typically 3–8 weeks) scoped to the complexity of the system.
  • Retainer — ongoing monthly monitoring, tuning, and support, billed month-to-month: Core ($1,500–$2,500/mo), Growth ($3,000–$5,500/mo), or Enterprise ($6,500–$12,000+/mo).
  • Productized Package — a self-serve, later-stage offering ($300–$1,500/mo) for clients who want a lighter-touch ongoing relationship.
  • Source-code / IP Buyout — an optional, one-time transfer of full platform and code ownership, priced at roughly 5x the equivalent build cost.

Each specific engagement's scope, deliverables, timeline, and price are confirmed in writing (a proposal, statement of work, or signed order form) before work begins.

2. Payment Terms

Pilots and one-time builds are invoiced according to the milestone schedule in the applicable proposal (typically a deposit due at kickoff and the remainder at delivery). Retainers are billed monthly in advance. Invoices are due within 15 days of receipt unless otherwise agreed in writing. We quote flat fees or clearly metered usage — never credit-based billing — and we do not charge for output you reject before approval.

3. Cancellation

Retainer engagements run month-to-month and may be canceled by either party with 30 days' written notice. There is no long-term lock-in beyond that notice period. Fixed-fee pilots and one-time builds are governed by the cancellation and kill-fee terms (if any) stated in the applicable proposal.

4. Ownership

Every account, domain, dataset, and line of client-specific code created on your behalf during an engagement belongs to you, with a documented path to export it — nothing is locked to our infrastructure. The underlying platform, framework, and template code that Rivac Labs reuses across client engagements remains the property of Rivac Labs, unless you purchase the explicit Source-code / IP Buyout option described above, in which case full platform and code ownership transfers to you as specified in that agreement.

5. Confidentiality

Your data, prompts, and outputs are kept confidential. We do not share them externally, and we do not use them to train AI models or systems for other clients, without your explicit written consent. Each party agrees to protect the other's confidential information with the same care it uses for its own, and to use it only for purposes of the engagement.

6. Limitation of Liability

To the maximum extent permitted by law, Rivac Labs's total liability arising out of or related to an engagement is limited to the fees actually paid by the client to Rivac Labs in the three (3) months immediately preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages.

7. Changes to These Terms

We may update these general terms from time to time; material changes will be reflected by updating the "Last updated" date above. Terms already agreed in a signed proposal or statement of work for an active engagement are not affected by later updates to this page.
